1. Introduction
These Store Partner Terms & Conditions ("Partner Terms") govern your participation as a store owner on the groceree platform, operated by SPCube Ventures LLP ("groceree," "we," "us"). By downloading the groceree Store Owner App and listing your store, you agree to these Partner Terms.
These terms apply specifically to store owners and are separate from the customer-facing Terms & Conditions available on the groceree website.
๐ Please read these terms carefully before onboarding. If you disagree with any part, you may not use the groceree Store Partner platform.
2. Eligibility
To become a groceree store partner, you must:
- Be the lawful owner or authorised operator of a physical grocery or general store in India
- Be at least 18 years of age
- Hold any applicable licenses required to operate a retail grocery store in your jurisdiction
- Have a valid Indian mobile number and bank account for payment settlements
- Not be currently suspended or banned from the groceree platform
3. Onboarding & Store Setup
Upon successful registration, you agree to provide accurate and complete information including your store name, address, operating hours, and product listings. You are responsible for keeping this information up to date.
Product Listings
You are responsible for the accuracy of all product listings including names, descriptions, prices, and availability. Products listed must be genuinely in stock at the time of listing. Misleading or inaccurate listings are grounds for account suspension.
Store Photos
Store photos uploaded must accurately represent your store. Fake or misleading imagery is prohibited.
4. Store Owner Obligations
As a groceree store partner, you agree to:
- Respond to incoming orders promptly (within the time window specified in the app)
- Only accept orders you can fulfil accurately and within the stated delivery time
- Maintain accurate stock and mark items out-of-stock promptly when unavailable
- Package orders with reasonable care for freshness and safety
- Maintain food hygiene and safety standards as required by local regulations
- Not discriminate against any customer based on caste, religion, gender, region, or any protected characteristic
- Treat delivery personnel with respect and professionalism
- Handle customer complaints fairly and cooperate with groceree dispute resolution
5. Commission & Payment
groceree charges a commission on each completed and delivered order. The commission rate is communicated at the time of onboarding and may be revised with 30 days' notice.
Payment Settlement
Settlements for completed orders (minus the groceree commission) are transferred to your registered bank account on a weekly or bi-weekly basis, depending on your city and onboarding agreement. Settlements are accompanied by a detailed statement.
Deductions
Amounts may be deducted from settlements in cases of approved customer refunds (e.g. wrong items, missing items, damaged goods) where the fault lies with the store. groceree will not deduct amounts without notifying you and providing the reason.
๐ฐ You pay commission only on completed, successfully delivered orders. Cancelled or undelivered orders are not charged.
6. Order Management
You will receive real-time order notifications through the app. Upon accepting an order, you are committed to fulfilling it accurately.
Cancellations by Store
Repeatedly cancelling accepted orders will negatively affect your store's ranking and may result in account review. Orders should only be cancelled when genuinely unavoidable (e.g. sudden stock-out, store closure).
Substitutions
If an item is unavailable, you must contact the customer via the app before substituting. Substitutions must not exceed the original item's price without prior consent.
7. Prohibited Conduct
The following are strictly prohibited and may result in immediate account suspension:
- Listing products you do not actually stock or sell
- Accepting orders with no intention to fulfil them
- Attempting to transact with customers outside of the groceree platform after being introduced through it
- Manipulating ratings or reviews through fake orders
- Providing unsafe, expired, or misrepresented food products
- Harassing customers, delivery persons, or groceree staff
- Sharing your store login credentials with unauthorized third parties
8. Termination
Either party may terminate the partnership at any time. You may deactivate your store from the app settings. groceree may suspend or terminate your account for violations of these Partner Terms, consistent poor performance, or conduct that harms customers or the platform.
Upon termination, any pending settlement amounts owed to you will be paid out within 30 business days, minus any amounts owed to groceree.
9. Limitation of Liability
groceree acts as a technology platform facilitating orders between customers and stores. We are not liable for product quality disputes, food safety incidents, or delivery delays caused by factors outside our control. Store owners are independently responsible for the products they sell and their compliance with applicable food safety laws.
groceree's maximum liability to any store partner in connection with the platform shall not exceed the total commissions paid by that store in the three months preceding the claim.
10. Governing Law & Contact
These Partner Terms are governed by the laws of India. Any disputes shall be resolved through the courts of jurisdiction applicable to SPCube Ventures LLP's registered office.
